Terms of Service

These Terms of Service (“Terms”) govern your access to and use of PingLynk, a hosted Instagram DM automation service operated by Sidhira Tech and Consulting LLC (“we”, “our”, or “us”). By creating an account or otherwise using PingLynk, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The Service

PingLynk lets you connect an Instagram Professional (Business or Creator) account and configure automated keyword campaigns. When someone comments your configured trigger keyword on a targeted post, PingLynk automatically sends them a direct message on your behalf, using Instagram’s own Messaging API.

Every plan includes the same feature set:

• Unlimited keyword campaigns, each with its own keyword, message, and target posts
• Text, button, and two-step “confirm” DM formats
• Comment-reply rotation with multiple message variations
• An optional “ask to follow” nudge appended to a DM
• A live activity log showing every keyword match and DM outcome

The only difference between paid plans is the number of automated DMs your account can send per month — see Section 3.

PingLynk also lets you publish photos and videos directly to your connected Instagram account — from the dashboard’s Create Post page, or through a third-party AI tool (such as Claude or ChatGPT) connected using an API key you generate from Settings. Both routes use the same underlying publishing pipeline and count against the same monthly post limit (Section 3). Publishing is a real, public, irreversible action on your Instagram account, exactly as if you had posted it yourself.

2. Eligibility & Account Requirements

• You must be able to form a binding contract to use PingLynk (e.g. be of legal age in your jurisdiction, or use it on behalf of a business you’re authorized to bind).
• You must connect a genuine Instagram Professional (Business or Creator) account that you own or are authorized to manage. You may not connect an account you don’t control, a fake or bot account, or an account obtained in violation of Instagram’s own terms.
• You are responsible for the accuracy of your account information and for keeping your login credentials secure.
• You are responsible for everything a campaign you configure sends — the keyword, the message text, any links, and any “ask to follow” nudge.

3. Pricing Plans, Monthly DM & Post Limits

PingLynk offers four plans:

“Monthly DMs” means the number of automated direct messages PingLynk sends on your behalf, across all of your keyword campaigns combined, within your current monthly billing cycle. It resets at the start of each new billing cycle.

At the limit:once your plan’s monthly DM limit is reached, PingLynk pauses further automated sends until your plan resets at the next billing cycle, or until you upgrade to a plan with a higher limit. We do not charge overage fees, and we do not automatically upgrade or re-bill you when you hit your limit — sending simply pauses until the limit resets or you choose to upgrade. The Pro plan has no monthly DM limit.

“Monthly posts” means the number of photos/videos PingLynkpublishes to your connected Instagram account on your behalf — whether initiated from the dashboard or through a third-party AI tool connected via your API key — within your current monthly billing cycle. It resets at the start of each new billing cycle. The Pro plan has no monthly post limit, but is still capped at 20 posts per rolling 24 hours, consistent with Instagram’s own platform-wide publishing limits.

You can upgrade your plan at any time from your dashboard to raise your monthly DM and post limits immediately; the new plan is billed through Stripe according to the plan you select.

4. Billing, Renewal & Cancellation

• Payment processor: Paid subscriptions are billed through Stripe. By subscribing to a paid plan, you authorize Stripe to charge your payment method on a recurring basis for the plan you selected.
• Renewal: Paid plans automatically renew at the end of each billing period unless you cancel before the renewal date.
• Cancellation:You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period — you keep your plan’s features and DM limit until then, and your account then reverts to the Free plan.
• Refunds: We do not provide partial-month or prorated refunds for cancelling mid-cycle, except where required by applicable law.
• Price changes: If we change the price of your plan, we will provide reasonable notice before the change applies to your next billing cycle.

5. Acceptable Use

You agree that you will:

• Only connect an Instagram Professional account that is genuinely yours or that you are authorized to manage.
• Comply with Meta’s Instagram Platform Policies, Platform Terms, and Instagram’s Terms of Use at all times.
• Not use PingLynk to send spam, unsolicited bulk messages, deceptive content, or messages unrelated to a genuine keyword match on your own content.
• Not use PingLynk to send illegal content, phishing links, malware, or content that infringes another party’s rights.
• Not use PingLynk’s content-publishing feature to post anything illegal, infringing, or in violation of Instagram’s own Community Guidelines and Content Policies.
• Keep any API key or MCP connection URL you generate confidential — it lets whoever holds it publish to your Instagram account, so treat it like a password and revoke it immediately from Settings if you believe it’s been exposed.
• Not attempt to circumvent your plan’s monthly DM or post limits, reverse-engineer the service, or interfere with its normal operation.
• Not resell or sublicense access to PingLynk without our written consent.

PingLynk is not affiliated with, endorsed by, or sponsored by Meta or Instagram. You are solely responsible for your own compliance with Instagram’s terms and policies; violations by you can result in Meta restricting or revoking your Instagram account’s access, independent of anything we do.

You are responsible for everything published to your Instagram account through PingLynk— including anything a third-party AI tool publishes using your API key. We treat a request authenticated with your API key exactly as if you made it yourself; we do not review, moderate, or approve content before it’s published, whether it comes from the dashboard or a connected AI tool.

6. User-Generated Content & License

You retain ownership of the keywords, message templates, fulfilment links, photos, videos, captions, and any other content you configure or upload (“Your Content”). By creating a campaign or publishing a post, you grant Sidhira Tech and Consulting LLCa limited, non-exclusive license to store, process, transmit, and display Your Content solely to operate the Service — for example, sending a message via Instagram’s Messaging API, publishing a photo or video via Instagram’s content-publishing API, or showing it back to you in your dashboard, activity log, or post history.

You represent that you own Your Content or have the necessary rights to use and publish it, and that it does not infringe any third party’s intellectual property or other rights. We do not review or endorse Your Content before it’s sent or published, and you are solely responsible for it — including content published by a third-party AI tool acting on your behalf through an API key you generated.

7. Intellectual Property Rights

PingLynk, its software, design, branding, logos, and all underlying technology are the property of Sidhira Tech and Consulting LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right to use PingLynk’s name, branding, or trademarks.

Except for the limited right to access and use PingLynk as intended, we grant no license or right to copy, modify, distribute, sell, reverse-engineer, or create derivative works from the Service or its underlying software.

8. Representations & Warranties

You represent and warrant that:

• You have the legal right and authority to enter into these Terms and to connect the Instagram account you connect.
• Your use of PingLynk — including the messages, links, and keywords in every campaign you configure — complies with all applicable laws, including consumer protection and anti-spam laws relevant to your own use.
• Any link or content you configure PingLynk to send does not contain malware, phishing content, or anything illegal.
• Any photo, video, or caption you publish through PingLynk — whether from the dashboard or a connected AI tool — is content you own or are authorized to use and publish, and does not infringe any third party’s rights.
• The information you provide us (account details, billing information, support requests) is accurate and kept up to date.

9. Copyright Complaints (DMCA)

If you believe content transmitted through PingLynk infringes your copyright, send a notice to hello@pinglynk.com including: (a) a description of the copyrighted work you claim is infringed; (b) identification of the material you claim is infringing and where it appears; (c) your contact information; (d) a statement that you have a good-faith belief the use is unauthorized; and (e) a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on the copyright owner’s behalf.

We will investigate valid notices and may remove or disable access to the reported content and, where appropriate, suspend or terminate the account of a repeat infringer.

10. Suspension & Termination

We may suspend or terminate your access to PingLynk if you violate these Terms, Meta’s Instagram Platform Policies, or applicable law, or if we reasonably believe your use of the service creates risk or harm to us, Meta, or others. Where practical, we will give notice; for serious or urgent violations (e.g. spam, fraud, abuse), we may suspend or terminate immediately without prior notice.

You may stop using PingLynk at any time. You can permanently delete your account and all associated data yourself, immediately, using the Delete my account control in the Danger Zone under Settings — see our Data Deletion Instructions for the full steps. Cancelling a paid subscription (Section 4) is separate from deleting your account; deleting your account also cancels any active subscription.

11. Disclaimer of Warranties

PingLynk is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the service will be uninterrupted, error-free, or free of security vulnerabilities, and we do not guarantee that Meta or Instagram will not change, restrict, or discontinue the APIs PingLynk relies on, or take action against your Instagram account for reasons outside our control.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Sidhira Tech and Consulting LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of PingLynk, even if we have been advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the service is limited to the amount you paid us for the service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits any liability that cannot be limited or excluded under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Sidhira Tech and Consulting LLCand its officers, employees, and agents from any claim, liability, damages, loss, or expense (including reasonable attorneys’ fees) arising out of or related to: (a) your use of PingLynk; (b) the content of any campaign you configure or post you publish, including keywords, messages, links, photos, videos, and captions; (c) any action taken by a third-party tool using an API key you generated, whether or not you intended that specific action; (d) your violation of these Terms; or (e) your violation of any law or third party’s rights, including Meta or Instagram’s own terms and policies.

14. Dispute Resolution — Arbitration & Class Action Waiver

Please read this section carefully — it affects your legal rights. You and Sidhira Tech and Consulting LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or PingLynk will be resolved through binding, individual arbitration rather than in court, except as set out below.

• Arbitration: Arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, conducted in the county where the company maintains its principal place of business in Florida or another mutually agreed location, or by videoconference where available.
• Class action waiver: Disputes must be brought on an individual basis only, not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
• Small claims carve-out: Either party may instead bring an individual claim in small claims court, where the claim qualifies.
• 30-day opt-out: You may opt out of this arbitration agreement by emailing hello@pinglynk.com within 30 days of first agreeing to these Terms, stating your name, account email, and that you opt out of arbitration. If you opt out, disputes will instead proceed in the courts described in Section 15.

If any part of this arbitration agreement is found unenforceable, the rest of it remains in effect, except that if the class action waiver is found unenforceable, this entire arbitration section will not apply to that dispute.

15. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law principles. Subject to Section 14 (Dispute Resolution), any dispute arising out of or relating to these Terms or PingLynk that is not subject to arbitration, or as to which either party has properly opted out of arbitration, will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, except where applicable consumer-protection law requires otherwise.

16. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy and Data Deletion Instructions, are the entire agreement between you and Sidhira Tech and Consulting LLC regarding PingLynk, superseding any prior agreements on the same subject.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
• No waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force majeure:We are not liable for any failure or delay caused by events beyond our reasonable control, including outages of Meta’s API, our hosting providers, or other third-party services we depend on.

17. No Rights of Third Parties

These Terms do not create any rights for any person who is not a party to them, including Subscribers who receive a DM through a campaign you configure.

18. Electronic Notices

You consent to receive notices, agreements, disclosures, and other communications from us electronically — by email, or by posting them in your dashboard or on this site. You agree that these electronic communications satisfy any legal requirement that such communications be in writing.

19. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. If changes are material, we will provide additional notice (for example, by email or an in-dashboard notice). Your continued use of PingLynk after any changes take effect constitutes your acceptance of the revised Terms.
